This course examines the role of governance (e.g., disclosure, reporting, boards oversight) and control systems (e.g., integration of ESG metrics into executive incentive systems) in achieving corporate ESG (environmental, social, and governance) agendas. As corporate purpose, priorities, and risks shift, boards and executives have emerged as central in operationalizing ESG agendas. We will be attentive to processes and practices that enable and motivate corporate actors to govern responsibly.
